1. Acceptance of Terms
By creating an account or using Autopost, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform.
2. Description of Service
Autopost is a cloud-based dealer management system that provides inventory management, website hosting, lead management, and related services for automotive dealerships.
3. Account Registration
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to use the platform for any unlawful purpose or in any way that could damage, disable, or impair the service. You are responsible for all content uploaded to your account, including vehicle listings, images, and customer data.
5. Subscription and Billing
Paid plans are billed on a recurring basis. You may cancel your subscription at any time. Refunds are handled in accordance with our refund policy. Free trial periods, if offered, may be subject to limitations.
6. Data Ownership
You retain ownership of all data you upload to Autopost. We do not claim any intellectual property rights over your content. You grant us a limited license to host, store, and display your content as necessary to provide the service.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the platform. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime or service interruptions.
8. Limitation of Liability
To the maximum extent permitted by law, Autopost shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform.
9. Termination
We reserve the right to suspend or terminate your account if you violate these terms. Upon termination, your right to use the platform ceases immediately. You may request an export of your data within 30 days of termination.
10. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or through the platform. Your continued use of the platform after changes constitutes acceptance of the new terms.
11. Data Retention After Cancellation
Upon cancellation of your subscription or expiry of your free trial, your account will enter a 30-day grace period during which you will have read-only access to your data. You may reactivate your account by subscribing during this period to restore full access. After the 30-day grace period, your account and all associated data -- including vehicle listings, photos, leads, customer records, deals, website content, and settings -- will be permanently and irreversibly deleted. You will receive email notifications prior to deletion, including warnings at 3 days and 1 day before the scheduled deletion date.
12. Photo Management & Storage
To manage storage efficiently, photos associated with sold vehicles are automatically compressed and reduced 30 days after the vehicle is marked as sold. The system retains a maximum of 5 photos per sold vehicle; remaining photos are permanently deleted. Retained photos are resized and compressed to lower resolution. This process is irreversible -- original full-resolution images cannot be recovered after compression. Photos for active (in-stock) vehicles are not affected. If you require full-resolution photos of sold vehicles, you must download them within 30 days of marking the vehicle as sold.
13. Automated Content Generation
Autopost may offer AI-powered content generation features, including but not limited to blog posts, vehicle descriptions, and customer communications. All AI-generated content is created in draft form and is not published automatically. You are solely responsible for reviewing, editing, and approving any AI-generated content before publication. Autopost does not guarantee the accuracy, completeness, or suitability of AI-generated content.
14. Service Usage Limits
Your use of the platform is subject to usage limits that may vary by subscription plan. These limits may include, but are not limited to: monthly AI token budgets, SMS message quotas, vehicle listing caps, user account limits, and marketplace feed quotas. Usage counters for messaging add-ons reset upon each billing charge. AI token usage resets on a calendar month basis. If you exceed your allocated limits, certain features may be temporarily unavailable until the next reset period or until you upgrade your plan.
15. Analytics Data Retention
Detailed website analytics data, including individual page view records, is retained for 90 days. After this period, granular analytics data is permanently pruned. Aggregate summary data (such as total page views and popular listings) is retained indefinitely. If you require detailed analytics beyond 90 days, you must export the data before it is pruned.
16. Third-Party Integrations
Autopost integrates with third-party services including Facebook Marketplace, Facebook Pages, Instagram, Google Merchant Center, and payment processors. These integrations may require valid access tokens or browser sessions that you authorize. Tokens may expire and require re-authorization. Autopost is not responsible for rate limits imposed by third-party services or service interruptions caused by third-party providers. Posting and feed distribution are subject to your subscription plan and cease immediately if your subscription lapses.
17. Automated Notifications
Autopost sends automated communications on your behalf, including but not limited to: unanswered chat notifications to your team, daily schedule digests, trial expiry warnings, and billing-related emails. You are responsible for configuring notification preferences and ensuring that automated communications sent on your behalf comply with applicable laws and regulations, including anti-spam legislation.
18. Third-Party Data Accuracy
Autopost integrates with third-party data providers to offer features such as VIN decoding, vehicle history reports, and market pricing data. While we make reasonable efforts to present this information accurately, Autopost does not guarantee the accuracy, completeness, or reliability of any data obtained from third-party sources. VIN-decoded specifications, features, trim levels, and other vehicle details may contain errors or omissions. You are solely responsible for verifying all vehicle information before publishing listings, completing sales, or making business decisions based on such data. Autopost shall not be liable for any losses, claims, or damages arising from inaccurate or incomplete third-party data.
19. Marketplace & Social Media Risks
Autopost provides tools to post vehicle listings to third-party marketplaces and social media platforms, including but not limited to Facebook Marketplace, Facebook business pages, and other social networks. These platforms are operated by independent third parties with their own terms of service, community standards, and enforcement policies. By using these integration features, you acknowledge and agree that: (a) Autopost is not responsible for any actions taken by third-party platforms against your account, page, or profile, including but not limited to temporary restrictions, permanent bans, content removal, or account suspension; (b) posting frequency, content type, and listing volume are subject to the third-party platform's rules, which may change without notice; (c) you are solely responsible for ensuring your use of these integrations complies with the applicable platform's terms of service; and (d) Autopost provides no guarantee that listings will be accepted, remain visible, or achieve any particular result on third-party platforms. Autopost shall not be liable for any loss of business, revenue, or opportunity resulting from third-party platform actions or policy changes.
20. Domain Provision & Ownership
Autopost may provide custom domain names to subscribers as part of certain subscription plans or promotional offers at no additional charge. All domains provisioned by Autopost remain the exclusive property of Autopost and are licensed to you solely for use with the Service during your active subscription. You acknowledge and agree that: (a) you have no ownership rights over any domain name provided by Autopost; (b) domains provided by Autopost are not transferable and will not be transferred to you or any third party under any circumstances; (c) upon cancellation or termination of your subscription, your license to use the domain immediately ceases and the domain reverts to Autopost; and (d) all decisions regarding domain provisioning, management, renewal, and retention are at the sole and final discretion of Autopost. If you require full ownership and control of a domain name, you must independently purchase and register a domain through a third-party registrar and configure it for use with the Service.
21. Promotional Use License
By using the Service, you grant Autopost a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute screenshots, excerpts, and representations of your dealership website, listings, and publicly visible content created through the Service for Autopost's own marketing, promotional, and advertising purposes. This includes, but is not limited to, featuring your website in case studies, promotional materials, social media posts, presentations, and on the Autopost marketing website. Autopost will not use private or non-public data (such as customer records, financial data, or internal communications) for promotional purposes. You may opt out of promotional use by notifying us in writing, after which we will remove your content from future promotional materials within a reasonable timeframe; however, materials already published or distributed prior to the opt-out request may remain in circulation.
22. Indemnification
You agree to indemnify, defend, and hold harmless Autopost, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) content you upload, publish, or distribute through the Service; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any third-party claim arising from your dealership operations facilitated through the Service.
